This page is a general risk disclosure, not legal, financial, tax, or investment advice. Nothing here is a promise, guarantee, or projection of any outcome. Read it before you interact with any Ponzu contract.

No investment advice

Nothing on this site, in the Ponzu app, in the SDK, in the MCP server, or in any Ponzu communication is investment, financial, legal, accounting, or tax advice. No content is a recommendation to buy, sell, or hold any digital asset. You are solely responsible for your own decisions and for obtaining independent professional advice before acting.

No offer or solicitation

This documentation is informational. It is not an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, investment contract, or financial instrument in any jurisdiction. No prospectus, offering memorandum, or registration statement has been filed with, reviewed by, or approved by any securities regulator, including the U.S. Securities and Exchange Commission.

What a Kioke barrel is

A Kioke Card is a transferable ERC-721 NFT that grants a curation role in the Ponzu protocol: it accrues Koji credits from launches on its own chain, and those credits are spent to curate projects on that chain.
  • A barrel is not equity, debt, a share, a partnership interest, or a claim on the assets, revenue, or profits of any company, entity, or person.
  • A barrel confers no ownership, governance rights over any legal entity, dividend entitlement, or right of redemption.
  • Barrel rewards are not passive. Koji must be spent on curation before rewards can be claimed. A holder who does not curate cannot claim. See Kioke Card.
  • Barrels are not intended to constitute securities in any jurisdiction. That characterization has not been confirmed by any regulator, and regulators in your jurisdiction may reach a different conclusion. You accept that risk when you acquire one.

No promise of returns

Crafting and fermenting rewards are a function of protocol activity that may never occur. They depend on whether third-party founders launch projects, whether those presales raise anything, and whether the resulting tokens are traded. None of that is controlled, promised, or forecast by anyone associated with Ponzu. Reward streams may be zero, indefinitely. The value of a barrel, a Ponzu Bottle, a Koji credit, or any launched token may fall to zero and stay there. Curation is not a skill anyone is represented as having. No statement anywhere in this documentation should be read as suggesting that any holder can accurately identify which projects will succeed. Past protocol activity, past launch outcomes, and past reward distributions are not indicative of future results.

Forward-looking statements

Any statement about future functionality, chains, integrations, or protocol behavior reflects present intent only. Plans change, ship dates move, and features are abandoned. Nothing described as forthcoming is a commitment to deliver it.

Eligibility and jurisdiction

The Ponzu contracts are permissionless and are not restricted by geography at the contract level. That does not make them lawful for you to use. You are responsible for determining whether your use complies with the laws of every jurisdiction that applies to you, and for not using the protocol where it does not. Ponzu is not available to persons subject to sanctions or located in sanctioned jurisdictions.

Protocol and smart contract risk

Ponzu is experimental software deployed to public blockchains. Contracts may contain bugs, economic flaws, or vulnerabilities that audits did not find. Transactions are irreversible. Keys lost are funds lost. Third-party infrastructure — RPC providers, wallets, bridges, chains, DEX pools — can fail in ways Ponzu cannot control or remedy. The 90% presale refund is a contract function with defined conditions, not a guarantee. It stops being available at launch. See The Presale.

No liquidity guarantee

Nothing guarantees a market for a Kioke barrel, a Ponzu Bottle, or any launched token. Liquidity may be thin, one-sided, or absent. You may be unable to exit a position at any price.

No relationship or duty

Using Ponzu creates no fiduciary, advisory, agency, brokerage, or trust relationship between you and any contributor, developer, or affiliate of the protocol. No one associated with Ponzu manages your assets, acts on your behalf, or owes you a duty of care in respect of your positions.

Taxes

Acquiring, holding, transferring, claiming from, or disposing of any digital asset described here may create tax obligations. Those obligations are yours to determine and discharge. Ponzu does not provide tax reporting.

Changes

This documentation and the underlying protocol change without notice. Deployed contract behavior is authoritative over any description of it on this site. Where the two disagree, the contract governs. Verify on-chain before you rely on anything.
