Non-Custodial Protocol

Ponzu is a decentralized, non-custodial protocol. It does not take custody of, control, or have access to user assets or private keys at any time, holds no balances on any user’s behalf, and is not a counterparty to any transaction. Ponzu is not a bank, exchange, broker, dealer, custodian, money transmitter, or investment adviser, and provides no financial, brokerage, custodial, advisory, or fiduciary services. The core contracts are immutable from deployment, with no owner, no administrator, and no upgrade path. No person is able to reverse a transaction, recover assets, pause a presale, unlock vesting, alter a fee, modify a distribution split, or otherwise intervene in a launch. Launches are cloned from fixed templates using parameters supplied by the deploying party, and no owner role, key, or privileged function over any cloned contract is retained by any person. Presales settle according to the encoded pricing strategy, liquidity is provided automatically, and resulting tokens trade on a permissionless decentralized exchange. No trading venue, order book, or matching engine is operated by any person associated with Ponzu. Further detail is set out in the Disclosures.

Scope of a Kioke Card

A Kioke Card is a transferable ERC-721 NFT granting a curation role in the Ponzu protocol. It accrues Koji credits from launches on its own chain, and those credits are spent to curate projects on that chain.

• A Kioke Card is not equity, debt, a share, a partnership interest, or a claim on the assets, revenue, or profits of any person or entity.
• It confers no ownership, governance rights over any entity, dividend entitlement, or right of redemption.
• Rewards are not passive. Koji must be spent on curation before rewards may be claimed. A holder who does not curate cannot claim. See Kioke Card.
• Kioke Cards are not intended to constitute securities in any jurisdiction. Legal and regulatory treatment varies by jurisdiction and may change, and no regulator has confirmed any characterization.

No Promise of Returns

Crafting and Fermenting rewards are a function of protocol activity that may never occur. They depend on whether third-party founders launch projects, whether those presales raise anything, and whether the resulting tokens are traded. None of that is controlled, promised, or forecast by any person associated with Ponzu. Reward streams may be zero indefinitely. The value of a Kioke Card, a Ponzu Bottle, a Koji credit, or any launched token may decline to zero and remain there. No representation is made that any holder is able to identify which projects will succeed. Past protocol activity, past launch outcomes, and past reward distributions are not indicative of future results.

Eligibility and Jurisdiction

The Ponzu contracts are permissionless and apply no geographic restriction at the contract level. That a contract will accept a transaction is not a representation that the submitting party is permitted to submit it. You are responsible for determining whether your use complies with the laws of every jurisdiction applicable to you, and for refraining from use where it does not. Ponzu is not available to persons subject to sanctions or located in sanctioned jurisdictions.

Protocol and Smart Contract Risk

Ponzu is novel software deployed to public blockchains. Contracts may contain bugs, economic flaws, or vulnerabilities not identified by audit or review, and because the contracts are immutable, a vulnerability identified after deployment cannot be patched, paused, or mitigated by any person. Transactions are irreversible. Lost keys result in permanent and irrecoverable loss of assets. Third-party infrastructure — RPC providers, wallets, bridges, chains, and DEX pools — may fail in ways beyond the control or remedy of any person associated with Ponzu. The 90% presale refund is a contract function subject to defined conditions, not a guarantee, and ceases to be available at launch. See The Presale.

No Liquidity Guarantee

No market is guaranteed for a Kioke Card, a Ponzu Bottle, or any launched token. Liquidity may be thin, one-sided, or absent, and you may be unable to exit a position at any price.

No Relationship or Duty

Use of Ponzu creates no fiduciary, advisory, agency, brokerage, or trust relationship between you and any contributor, developer, or affiliate of the protocol. No person associated with Ponzu manages your assets, acts on your behalf, or owes you any duty of care in respect of your positions.

Taxes

Acquiring, holding, transferring, claiming from, or disposing of any digital asset described here may create tax obligations. Determining and discharging those obligations is your responsibility. No tax reporting is provided.
