# Terms of Service

> The terms governing access to the Ponzu interface, documentation, SDK, MCP server, and the Ponzu protocol.

  **Important notice.** These Terms contain a binding limitation of liability, a disclaimer of all warranties, an indemnification obligation, and a waiver of class actions and jury trial. They affect your legal rights. Read them in full before accessing the Interface or interacting with the Protocol.

Nothing in these Terms, the Interface, or the documentation is investment, financial, legal, or tax advice, and nothing constitutes an offer, solicitation, or recommendation to acquire any digital asset.

## 1. Definitions

| **Contributors**      | The independent developers and other persons who write, publish, or maintain the Protocol or the Interface.                                                                               |
| **You**               | Any person or entity that accesses the Interface or interacts with the Protocol, whether directly or through any other software.                                                          |
| **Issuer**            | Any person who deploys a token through the Protocol.                                                                                                                                      |
| **Digital Assets**    | ETH, WETH, tokens launched through the Protocol, Ponzu Bottle NFTs, Liquidity Card NFTs, Kioke Cards, and any other blockchain-based asset described in this documentation.               |
| **Restricted Person** | Any person subject to sanctions, located in or ordinarily resident in a sanctioned jurisdiction, or otherwise prohibited by applicable law from accessing the Interface or the Protocol.  |

## 2. Acceptance of Terms

By accessing the Interface, or by signing any transaction that interacts with the Protocol, you agree to be bound by these Terms. If you do not agree, do not access the Interface and do not interact with the Protocol.

These Terms may be revised at any time. Revisions take effect when posted to this page and apply to all subsequent access. Your continued use following any revision constitutes acceptance of the revised Terms. You are responsible for reviewing this page periodically.

## 3. Nature of Ponzu; No Custody

Ponzu is a decentralized, non-custodial protocol. It is not a bank, exchange, broker, dealer, custodian, money transmitter, investment adviser, or financial institution, and it does not provide financial, brokerage, custodial, advisory, or fiduciary services of any kind.

Ponzu does not take custody of, control, or have access to your Digital Assets or private keys at any time. There are no user accounts and no balances held on your behalf. Every position you hold exists in a smart contract with which you interact directly from a wallet you control.

Ponzu is not a counterparty to any transaction you enter into. Transactions occur between you and smart contracts, or between you and other users, and no Contributor takes a position, acts as principal or agent, or assumes any obligation of performance in respect of them.

Your access to the Interface creates no fiduciary, advisory, agency, brokerage, partnership, joint venture, employment, or trust relationship between you and any Contributor.

## 4. The Interface and the Protocol Are Distinct

The Protocol operates autonomously. The core contracts are immutable from deployment: they have no owner, no administrator, no privileged functions, and no upgrade path, and ownership is renounced and cannot be restored. No Contributor and no other person is able to reverse a transaction, recover Digital Assets, pause a presale, unlock vesting, alter a fee, modify a distribution split, freeze a token, or otherwise intervene in a launch.

Where these Terms or the documentation describe Protocol behavior and a deployed contract operates differently, **the deployed contract governs**. Descriptions in this documentation are provided for convenience and are not representations, warranties, or commitments. Verify contract behavior on-chain before relying on it. The Interface is an optional convenience layer that reads chain state and assists in constructing transactions. It is not required to use the Protocol. Every core Protocol function may be performed by calling the contracts directly. The Interface may be modified, restricted, suspended, or discontinued at any time without notice, and no such action alters the behavior of any deployed contract.

Any Interface-level action — including removing content, delisting a token from a discovery surface, or restricting access — is a presentational matter only. It does not constitute control over the Protocol and is not a representation regarding the legality, quality, safety, or regulatory status of any token, whether removed or retained.

## 5. Launches Are Cloned From Fixed Templates

A launch is not built, reviewed, curated, or operated on any Issuer's behalf. Calling `craftPonzu` clones a fixed set of contract templates — token, presale, launcher, distributor, farm, and position NFTs — in a single transaction, using parameters supplied by the deploying party at the time of that transaction.

The templates are immutable deployed code with no owner, no administrator, and no upgrade path, and every clone inherits those properties. Launch parameters are fixed at deployment and cannot subsequently be modified by the Issuer, by any Contributor, or by any other person.

**No control is retained over any cloned contract.** No Contributor holds any owner role, administrator role, key, or privileged function in any launched token, presale, distributor, farm, or position NFT. Once the cloning transaction is confirmed, the resulting contracts are wholly independent and cannot be paused, upgraded, drained, reconfigured, or discontinued by any person.

The factory exercises no discretion. It does not review, screen, approve, reject, rank, or endorse anything it clones, and it applies no eligibility criteria to any deployment.

## 6. Auction Settlement and Trading

The presale is a decaying auction that terminates according to its encoded parameters when commitments meet the price curve. No person determines when an auction clears, and no person is able to extend, cancel, reverse, or unwind an auction, or to allocate on a discretionary basis.

Upon settlement, the Launcher contract automatically pairs raised ETH with tokens and opens a pool on PonzuSwap, a permissionless automated market maker. From that point the token trades on a decentralized exchange. No listing decision is made by any person, no trading venue, order book, or matching engine is operated by any Contributor, no Digital Assets are held on any user's behalf, and no Contributor is a counterparty to any trade. Trades occur between users and a liquidity pool.

Launched tokens are freely transferable and may be traded on any other venue, and pools for them may be created elsewhere by any person, without the permission, notice, or involvement of any Contributor.

## 7. Eligibility

To access the Interface you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, are not a Restricted Person, and are acting in compliance with all laws applicable to you.

The Protocol is permissionless and applies no eligibility criteria at the contract level. That a contract will accept your transaction is not a representation that you are permitted to submit it. Determining the lawfulness of your use in every applicable jurisdiction is your sole responsibility.

## 8. Restricted Persons and Sanctions Compliance

You may not access the Interface or interact with the Protocol if you are a Restricted Person. This includes any person listed on any sanctions list maintained by the United States, the United Kingdom, the European Union, or the United Nations, and any person located in or ordinarily resident in a comprehensively sanctioned jurisdiction.

Each time you access the Interface or submit a transaction you represent and warrant that you are not a Restricted Person and that your use complies with all applicable sanctions, export control, anti-money-laundering, and counter-terrorist-financing laws.

You may not use the Interface or the Protocol to evade sanctions, launder proceeds of crime, finance terrorism, or facilitate any prohibited transaction, and you may not misrepresent or conceal your location or identity for the purpose of making the representations in this Section.

## 9. Wallet Responsibility

You are solely responsible for your wallet, private keys, seed phrase, hardware, signing software, and every transaction you authorize.

Blockchain transactions are irreversible. A transaction submitted to an incorrect address, signed against a malicious contract, or authorized with incorrect parameters cannot be reversed by any person. Loss of private keys results in permanent and irrecoverable loss of Digital Assets. No recovery mechanism exists and none can be provided.

You are responsible for verifying contract addresses before interacting with them.

## 10. Protocol Functions

The Protocol permits any person, permissionlessly, to deploy a token and its associated contracts; participate in a decaying auction presale and receive a Ponzu Bottle NFT representing that position; obtain a 90% refund of a presale position prior to launch on the terms encoded in the Presale contract; trade launched tokens on PonzuSwap; claim vested tokens on a single-claim basis under the diamond-hand vesting rules; stake LP in the Farm; and hold a Kioke Card, accrue Koji credits, and participate in curation.

Descriptions of these functions elsewhere in this documentation are explanatory only and do not override contract code.

## 11. Permissionless Launches; No Endorsement

Any person may launch a token through the Protocol. There is no application process, review, approval, listing decision, or due diligence of any kind.

No Contributor vets, audits, verifies, sponsors, underwrites, rates, recommends, or endorses any token launched through the Protocol, any Issuer, or any statement made by an Issuer. The appearance of a token in the Interface indicates only that it exists on-chain and does not constitute a rating, recommendation, certification, verification, solicitation, or investment opinion.

Curation by Kioke Card holders does not constitute endorsement. Koji spent on a project reflects the independent judgment of individual NFT holders acting in their own interest, does not constitute diligence, and carries no representation regarding any project.

All names, descriptions, images, links, social accounts, and other launch materials are supplied by the Issuer and are not verified.

You are solely responsible for conducting your own investigation before participating in any launch, acquiring any token, providing liquidity, staking, or otherwise interacting with the Protocol.

## 12. Issuer Responsibilities

If you deploy a token through the Protocol, you are its Issuer and you are solely responsible for it.

You are responsible for the accuracy and completeness of all statements you make regarding it; its legal and regulatory treatment in every jurisdiction in which you offer or promote it; your use of raised assets; your disclosure of material information, related-party relationships, and conflicts of interest; and your compliance with securities, consumer protection, advertising, sanctions, and tax laws.

No legal, tax, financial, compliance, underwriting, brokerage, or listing service is provided to Issuers or users. Deploying through the Protocol confers no approval, creates no partnership, and transfers no responsibility to any Contributor. Your indemnification obligation under Section 20 extends to all claims arising from your launch.

## 13. User Content

Where the Interface accepts content from you, you retain such rights as you hold in it and grant a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, and distribute that content in connection with the Interface.

You represent and warrant that you hold all rights necessary to submit such content and that it does not infringe the intellectual property, privacy, publicity, or other rights of any person.

Content may be removed from the Interface, and access to it restricted, at any time and for any reason, including legal, security, abuse, impersonation, or intellectual property concerns. No obligation to monitor, review, or remove content is assumed. Removal from the Interface does not remove content from any blockchain. Neither removal nor the absence of removal constitutes a representation regarding any content.

## 14. Prohibited Uses

You may not use the Interface or the Protocol to:

* Violate any applicable law or regulation, or facilitate any violation by another person.
* Launder money, evade sanctions, or finance terrorism or other criminal activity.
* Commit fraud, operate a fraudulent launch, impersonate any person or project, or publish materially false or misleading information regarding any token.
* Manipulate markets, including through wash trading, spoofing, coordinated pump-and-dump activity, or Sybil manipulation of curation.
* Infringe the intellectual property or other rights of any person.
* Misrepresent or conceal your location or identity, or circumvent any access restriction applied to the Interface.
* Attack, overload, probe, disrupt, or interfere with the Interface or its infrastructure, or attempt to obtain unauthorized access to any system, wallet, or account.
* Scrape or run automated processes against the Interface in a manner that degrades its availability for others. Automated and agent-driven use through the published SDK and MCP server is permitted within reasonable operational limits.
* Introduce or distribute malware or any other malicious code.

Suspected fraud, impersonation, market manipulation, sanctions issues, intellectual property violations, or security vulnerabilities may be reported to [gm@ponzu.app](mailto:gm@ponzu.app). No obligation to investigate or act on any report is assumed.

## 15. Intellectual Property

The Ponzu and Kioke names and marks, the logos, and the text, design, and organization of the Interface and this documentation are protected by intellectual property laws and are not licensed to you except as expressly set out in this Section.

You are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Interface for your own use in accordance with these Terms. All rights not expressly granted are reserved. You may not reproduce, redistribute, resell, or create derivative works from the Interface or documentation, or present either as your own.

Source code published under an open source license, including any SDK, MCP server, or contract code, is governed by the terms of that license, which control over this Section as to those materials. Building an integrator interface on top of the Protocol is permitted and is not a breach of this Section, provided it is not held out as an official Ponzu interface.

## 16. Third-Party Services

The Interface interoperates with third-party services including wallets, blockchains and their validators, RPC providers, bridges, aggregators, block explorers, price feeds, analytics tools, and social platforms. These services are not operated or controlled by any Contributor.

Your use of any third-party service is governed by that provider's terms. No responsibility is accepted for any third-party service or for any loss arising from its failure, including downtime, inaccurate data, routing errors, MEV extraction, slippage, failed or reordered transactions, bridge exploits, chain reorganizations, forks, or network congestion.

Links to third-party sites do not constitute endorsement.

## 17. Risk Disclosures

You acknowledge and accept the risks of using the Interface and the Protocol, which include without limitation:

* **Total loss.** Any Digital Asset described in this documentation may decline to zero in value and remain there.
* **Smart contract risk.** The contracts are novel software and may contain bugs, economic flaws, or vulnerabilities not identified by review or audit. Because the contracts are immutable, a vulnerability identified after deployment cannot be patched, paused, or mitigated by any person.
* **Irreversibility.** Transactions cannot be reversed and lost keys cannot be recovered.
* **Permissionless launch risk.** Any person may launch any token. Fraud, abandonment, impersonation, and misleading disclosure by Issuers are possible and are not prevented by the Protocol.
* **Mechanism risk.** The 90% refund is a contract function subject to defined conditions and ceases to be available at launch. Vested tokens may be claimed once only, and claiming early irreversibly forfeits the remainder. Liquidity created at launch does not imply price stability, a guaranteed market, or a guaranteed exit.
* **Reward risk.** Distributor, Farm, Crafting, and Fermenting rewards are a function of third-party activity that may never occur, may be zero indefinitely, and are neither promised nor forecast.
* **Liquidity risk.** No market is guaranteed for any launched token, Ponzu Bottle, Liquidity Card, or Kioke Card. You may be unable to exit a position at any price.
* **Regulatory risk.** The legal treatment of these assets and activities is unsettled, varies by jurisdiction, and may change.
* **Tax risk.** Your activity may create tax obligations that you are responsible for determining and discharging.

## 18. Disclaimer of Warranties

THE INTERFACE, THE DOCUMENTATION, THE SDK, THE MCP SERVER, AND THE PROTOCOL ARE PROVIDED **"AS IS" AND "AS AVAILABLE"**, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

To the maximum extent permitted by law, all warranties, express, implied, statutory, or otherwise, are disclaimed, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. No warranty is given that the Interface or the Protocol will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any information presented is accurate or complete.

No advice or information obtained from the Interface, the documentation, or any Contributor creates any warranty not expressly stated in these Terms.

## 19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO CONTRIBUTOR SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DIGITAL ASSETS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE INTERFACE OR THE PROTOCOL, UNDER ANY THEORY OF LIABILITY, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ALL CONTRIBUTORS FOR ALL CLAIMS RELATING TO THE INTERFACE OR THE PROTOCOL SHALL NOT EXCEED **ONE HUNDRED UNITED STATES DOLLARS (USD \$100)**.

These limitations apply regardless of the failure of any limited remedy and are a fundamental basis of the bargain between you and the Contributors. Some jurisdictions do not permit the exclusion of certain warranties or the limitation of certain liabilities; in those jurisdictions these provisions apply to the fullest extent permitted, and the remainder of this Section remains in effect.

## 20. Indemnification

You agree to indemnify, defend, and hold harmless each Contributor from and against any claim, demand, loss, liability, damage, or expense, including reasonable attorneys' fees, arising out of or relating to your access to or use of the Interface or the Protocol, any token you launch, any content you submit, your breach of these Terms or of any representation made in them, your violation of any law, or your infringement of the rights of any person.

## 21. Privacy and Data

The Interface is accessed with a wallet. There is no registration, no password, and no identity verification.

Delivery of the Interface involves the processing of limited technical data, including IP address, browser and device information, request data, wallet address, and on-chain activity, by hosting, infrastructure, and RPC providers under their own terms, for the purposes of operating and securing the Interface, preventing abuse, and complying with applicable law.

Wallet addresses and on-chain activity are public by the nature of public blockchains. Such information is not made public by any Contributor.

## 22. Modification, Suspension, and Termination

The Interface may be modified, suspended, restricted, or discontinued at any time, in whole or in part, with or without notice, for any reason. Access may be restricted or terminated where a Contributor considers it legally required or appropriate for security, sanctions, abuse-prevention, or user-protection reasons. No liability arises from any such action.

You may cease using the Interface at any time. Sections 3, 4, 5, 9, 11, 12, 15, and 17 through 24 survive termination. Ceasing use of the Interface does not affect any on-chain position, which remains governed exclusively by contract code.

## 23. Dispute Resolution; Class Action Waiver

**Informal resolution.** Before commencing any proceeding, you agree to attempt in good faith to resolve the dispute informally by providing written notice to [gm@ponzu.app](mailto:gm@ponzu.app) and allowing at least 30 days for resolution.

**Individual basis only.** To the maximum extent permitted by law, all claims must be brought in your individual capacity. **YOU AND THE CONTRIBUTORS WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION, AND WAIVE ANY RIGHT TO TRIAL BY JURY.** No claim may be consolidated with the claim of any other person without the written consent of all parties.

**Time limitation.** Any claim relating to the Interface or the Protocol must be commenced within one (1) year after it arises, failing which it is permanently barred, to the maximum extent permitted by law.

**Injunctive relief.** Nothing in this Section limits either party's right to seek injunctive or equitable relief in respect of intellectual property misuse or unauthorized access.

**Disputes with other users.** Any dispute between you and an Issuer, a counterparty, a Kioke Card holder, or any other user is solely between those parties. No Contributor is a party to such disputes, mediates them, or bears any responsibility in respect of them.

## 24. General Provisions

**Entire agreement.** These Terms, together with the [Disclaimer](/legal/disclaimer) and the [Disclosures](/legal/disclosures), constitute the entire agreement between you and the Contributors regarding their subject matter and supersede all prior understandings.

**Severability.** If any provision is held unenforceable, it shall be limited or severed to the minimum extent necessary and the remaining provisions shall remain in full force.

**No waiver.** No failure or delay in enforcing any provision constitutes a waiver of it.

**Assignment.** You may not assign or transfer these Terms without prior written consent. These Terms may be assigned to any successor maintainer of the Interface.

**Force majeure.** No Contributor is liable for any failure or delay resulting from causes beyond reasonable control, including blockchain outages, network attacks, infrastructure failure, or acts of government.

**No third-party beneficiaries.** These Terms confer rights only on you and the Contributors.

**Language.** In the event of conflict between the English version of these Terms and any translation, the English version governs.
